Terms of Use

These Terms of Use ("Terms") govern access to calibrbiolabs.com (the "Website"), customer accounts, and purchases from Calibr Bio Labs ("Calibr," "we," "us," or "our"). By using the Website, creating an account, or placing an order, you agree to these Terms and the policies incorporated below. If you do not agree, do not use the Website or purchase products.

1. Eligibility and acceptance

You must be at least 21 years old and legally able to enter into a binding agreement. Product purchasers must be qualified to acquire and handle laboratory research materials in an appropriate research environment. We may ask for information reasonably needed to verify eligibility, research purpose, or organizational affiliation, and we may refuse access or a sale when eligibility cannot be established.

2. Research use only

Products are not drugs, foods, cosmetics, dietary supplements, or medical devices. They are not offered to diagnose, treat, cure, mitigate, or prevent any disease or condition. Calibr does not provide medical or veterinary care, fill prescriptions, or compound drugs.

Website content, linked publications, product descriptions, research notes, and support communications are provided only as general research context. They are not medical advice, dosing guidance, administration instructions, a recommendation for use, or a substitute for independent professional and regulatory review.

3. Customer representations

By ordering a product, you represent and agree that:

• you are at least 21 years old and have provided accurate account and order information;
• you are purchasing solely for lawful laboratory research;
• you possess the training, facilities, equipment, and controls needed to handle the materials safely;
• you will review available product documentation and independently assess suitability for your research;
• you will comply with all laws, regulations, institutional rules, and safety requirements that apply to you; and
• you will not resell, transfer, relabel, or otherwise provide a product for a prohibited use.

4. Prohibited uses

You may not purchase, possess, market, transfer, or use a Calibr product for:

• human or animal administration or consumption;
• diagnostic, therapeutic, clinical, or veterinary purposes;
• drug compounding, prescription fulfillment, or preparation for patient use;
• performance enhancement, body modification, or cosmetic treatment;
• household, food, agricultural, or other non-research use; or
• any unlawful purpose or activity that creates an unreasonable safety risk.

We may refuse or cancel an order, restrict an account, or end access to the Website if an inquiry, order, or other information reasonably indicates an intended prohibited use. Requests for dosing, administration, therapeutic, or similar guidance may be declined and may result in additional eligibility review.

5. Legal and regulatory responsibility

Product availability does not mean that a product may lawfully be acquired, possessed, shipped, or used in every location or research setting. You are solely responsible for determining and maintaining compliance with all requirements applicable to your purchase and intended research. Statements on the Website have not been evaluated by the U.S. Food and Drug Administration, and no therapeutic or clinical claims are made.

6. Accounts and security

Account information must be current, complete, and accurate. You are responsible for protecting your password and for activity performed through your account. Notify us promptly if you suspect unauthorized access. You may not impersonate another person, create an account using false information, share employee access, or interfere with another user's account.

7. Permitted use of the Website

Calibr grants you a limited, revocable, non-exclusive, non-transferable right to use the Website for lawful internal research purchasing, account management, and product-documentation purposes. You may not disrupt the Website, bypass security controls, introduce malicious code, probe systems without authorization, use automated tools to scrape or overload the Website, collect other users' information, or use Website content to mislead others about the intended use of a product.

8. Product information and documentation

We work to present accurate product identity, strength, price, inventory, storage, batch, and documentation information. Information may nevertheless contain an error or become outdated. We may correct content, update product names, change availability, or cancel an affected order. A certificate, test result, batch detail, or third-party publication applies only as described in the corresponding record and does not guarantee an outcome in your research.

9. Orders and acceptance

Submitting an order is an offer to purchase under these Terms. An automated order number or email confirms that we received the request; it does not require us to accept or fulfill it. An order is accepted after payment is matched, eligibility and availability checks are complete, and the order is approved for fulfillment. We may limit quantities or refuse or cancel an order because of inventory, pricing or listing errors, payment issues, shipping restrictions, suspected fraud, safety concerns, or noncompliance with these Terms.

If Calibr cancels an order after payment has been matched and before any product ships, we will ordinarily return the amount paid for the cancelled items unless retention or withholding is permitted by law. Our cancellation of an order does not create liability for lost research time, replacement purchases, or other indirect costs.

10. Pricing, promotions, and taxes

Prices are shown in U.S. dollars and may change before an order is submitted. Shipping charges and available discounts are displayed during checkout. You are responsible for applicable taxes, duties, fees, and other governmental charges, except where Calibr is required to collect and remit them. Promotional or referral codes may have separate conditions, may not be combined, have no cash value, and may be corrected or cancelled if used improperly or issued in error.

11. Payment

The payment methods shown during checkout are the only methods currently available. Calibr presently requests payment through Zelle after an order is placed. Zelle transactions occur through your bank or the Zelle service, outside the Website, under the financial provider's own terms. The Website does not collect bank-account or payment-card credentials.

You are responsible for using the correct recipient information and including enough order information for us to match the payment. An order remains unpaid until we can verify and match the full amount. Contact support before sending a second payment or attempting to correct a payment sent to the wrong recipient.

12. Shipping and delivery

Shipping methods, rates, address responsibilities, tracking, and fulfillment terms are described in our Shipping & Returns Policy. You are responsible for providing a complete, deliverable address and reviewing it before submitting the order. Carrier estimates are not guaranteed delivery dates. We are not responsible for delays caused by carriers, severe weather, service interruptions, inaccurate addresses, or events outside our reasonable control, subject to rights that cannot be limited by law.

13. Final-sale and problem-reporting policy

All sales are final after shipment, and product returns are not accepted because chain of custody and storage conditions cannot be verified after an order leaves our facility. A pre-shipment cancellation request may be considered only as described in the Shipping & Returns Policy.

A damaged or incorrect shipment must be reported to support@calibrbiolabs.com within 48 hours of the carrier-recorded delivery time with the order number, a description, and clear photographs. No remedy is available for opened or used items, buyer error, improper handling or storage, or a claim submitted after the stated period, except where applicable law requires otherwise. Do not send products back to Calibr.

14. Product and Website disclaimers

To the fullest extent permitted by law, the Website, its content, and products are provided "as is" and "as available." Calibr disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Website will always be uninterrupted, secure, or error-free, or that a product will produce a particular experimental result. Rights that cannot legally be disclaimed remain unaffected.

15. Limitation of liability

To the fullest extent permitted by law, Calibr and its owners, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, interrupted research, or replacement costs, arising from the Website, its content, an order, or the handling, storage, transfer, use, or misuse of a product.

To the fullest extent permitted by law, Calibr's total liability arising from a claim will not exceed the amount you paid Calibr for the specific product or order giving rise to that claim. These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

16. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Calibr and its owners, employees, contractors, affiliates, and agents from third-party claims, liabilities, losses, damages, and reasonable expenses arising from your violation of these Terms, unlawful conduct, false representations, or handling, storage, transfer, use, or misuse of a product. This obligation does not apply to the extent a claim was caused by Calibr's own conduct and cannot lawfully be shifted to you.

17. Intellectual property

The Website's design, original text, graphics, logos, photographs, software, and other Calibr content are owned by or licensed to Calibr and are protected by applicable intellectual-property laws. You may print or save a reasonable copy for internal, noncommercial research reference, but you may not republish, sell, modify, remove notices from, or commercially exploit Calibr content without written permission. Third-party trademarks, publications, and linked materials remain the property of their respective owners.

18. Privacy

Our Privacy Policy describes how we collect, use, disclose, and protect information. By using the Website, you acknowledge the data practices described there.

19. Suspension and termination

We may suspend or terminate an account, cancel an order, or block access when reasonably necessary to address a Terms violation, prohibited product use, fraud, security risk, legal obligation, or threat to Calibr or others. Provisions that by their nature should continue—including payment obligations, disclaimers, liability limits, indemnification, intellectual property, and dispute terms—survive termination.

20. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles, except where another law must apply. Before filing a formal claim, you and Calibr agree to attempt in good faith to resolve the dispute by written notice and informal discussion for at least 30 days. If a dispute is not resolved, it may be brought in a state or federal court with lawful jurisdiction in Pennsylvania, subject to any rights or venue rules that cannot be waived.

21. Changes to the Website and Terms

We may change or discontinue Website features, products, prices, or availability. We may also revise these Terms. Updated Terms will be posted on this page with a revised date and will apply from the stated effective date. If a change is material, we may provide additional notice where required. The Terms in effect when you submit an order govern that transaction unless applicable law requires otherwise.

22. Force majeure

Calibr is not responsible for delay or failure caused by events outside its reasonable control, including severe weather, natural disasters, government action, war, civil unrest, labor disruption, carrier or supplier failure, utility or internet outage, cyberattack, public-health emergency, or transportation interruption. We will make commercially reasonable efforts to resume affected performance.

23. General provisions

These Terms and the policies they incorporate are the entire agreement regarding the Website and orders and replace prior discussions on those subjects. If any provision is invalid or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent; Calibr may assign its rights in connection with a business transfer or as otherwise permitted by law. Headings are for convenience only.

25. Acknowledgment

By using the Website, creating an account, or placing an order, you confirm that you have read and understood these Terms. You specifically acknowledge that Calibr products are restricted to laboratory research, are not for human or veterinary use, and must be handled only by qualified persons in compliance with applicable law.
